Your responsibilities:  Lead, develop, motivate, support and direct a team of trust and corporate paralegals, setting high standards and ensuring responsibilities are appropriately planned and allocated. Provide oversight and ensure the smooth and timely filing of annual returns, holding of Annual General Meetings, incorporation/dissolution/re-domiciliation of entities, and filing/updating of beneficial ownership registers with regulators in different jurisdictions. Monitor and ensure compliance of entities with company law in different jurisdictions. Develop and document day-to-day processes and procedures for the department. Oversee adherence with GDPR, information security requirements and other internal policies and procedures. Provide support, sound guidance and regular reporting to senior management on trust and corporate matters. Work closely with legal counsel and advisers on the drafting of trust deeds, resolutions and various other trust or corporate related documents. Oversee and ensure integrity of all statutory documents for entities/ trusts in the Document Management System (“DMS”). Provide annual support with external audits, including agreed upon procedures. Maintain and ensure accuracy of organizational and structural charts. Maintain a trust and corporate compliance calendar, staying abreast of future changes and provide timely regulatory and structural updates to team. Coordinate and record meetings of directors, shareholders and committees. Lead and contribute to ad-hoc projects from time to time.

Role Overview: The BRMO is responsible for designing, implementing, and maintaining a comprehensive risk management framework at Syntes. This role reports directly to the CEO and serves as the primary point of contact for business risk issues with all internal and external stakeholders, without having direct management responsibilities. Key Responsibilities: The BRMO will take ownership of existing framework elements and be responsible for developing and implementing a risk management framework that encompasses the following key activities: identifying potential internal and external threats to the organization (Risk Identification), evaluating the likelihood and impact of identified risks (Risk Assessment), developing and implementing strategies to mitigate identified risks (Risk Mitigation), and ensuring accurate and timely reporting of risk-related information to senior management and stakeholders (Reporting and Enhancement). In particular, the role will require the following activities: Risk Assessment and Identification: Conduct an initial assessment of theorganization’s current risk landscape, identifying existing and emerging risks, both internal and external, to establish a baseline for the risk management framework. Policy and Procedure Development: Draft and maintain the firm’s policies andrelated procedures to support the risk management framework. Risk Register Maintenance: Collaborate with team members and stakeholders tomaintain the firm’s risk registers and ensure compliance with regulatory requirements. Internal Controls: Maintain, review and update the internal controls to identify andmanage new or existing risks. Training and Awareness: Develop and deliver training programs to promote a risk-aware culture throughout the organization. This includes educating staff on risk management practices, the importance of adherence to internal policies and controls, and fostering awareness of emerging risks. Business Continuity: Develop, test, and maintain the business continuity plan andpromote awareness of business continuity best practices, protocols, and procedures. Incident and Crisis Management: Support the prevention, identification, and handling of incidents, and conduct root cause analysis. Supports in developing a robust crisis management plan. Communication: Maintain frequent communication with senior management, ensuring that all key risks are understood and that mitigation strategies are implemented effectively.
